1. Acceptance of Terms

By accessing or using the website, services, or software applications (collectively, the "Services") provided by GatewayFood Cold Chain Logistics ("GatewayFood," "we," "us," or "our"), you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to all the terms and conditions, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services. Your use of our Services is also governed by our Privacy Policy.

2. Description of Services

GatewayFood provides premier temperature-controlled supply chain logistics and automated warehousing solutions for the Canadian food processing industry. Our Services include, but are not limited to:

• High-capacity refrigerated storage and distribution.
• Real-time, HACCP-compliant monitoring of perishable goods during transit.
• Long-haul transportation management across Canada.
• Related consulting and support services.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content.

3. User Obligations and Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account.

3.1 Prohibited Activities

You agree not to:

• Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use.
• Use any robot, spider, or other automatic device to access the Services for any purpose without our express written permission.
• Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

3.2 Account Security

If you are provided with an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Intellectual Property Rights

The Services and their original content, features, and functionality are and will remain the exclusive property of GatewayFood and its licensors. The Services are protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of GatewayFood.

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall GatewayFood, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

Our total cumulative liability to you for all claims arising from or related to the Services shall not exceed the total amount of fees you have paid to us in the six (6) months preceding the event giving rise to the claim.

6. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
